Protections for the Legal Centre for Business & Technology

I have been informed and understand that the Legal Centre for Business & Technology allows website visitors to view, download and use its clinic manual (the “Services”).

In consideration of providing the Services to me, and by clicking on "I Agree" below, I (personally and as authorized representative of my organization, if my organization benefits from the Services) hereby agree, represent and warrant as follows:

  1. To waive any and all claims that I have or may have in the future against the students, the University of Calgary, the mentors and the Legal Centre for Business and Technology (including the Centre for New Venture Development), and each of their directors, officers, shareholders, partners, employees, volunteers, agents, representatives, successors and assigns, as applicable (all of whom are hereinafter collectively referred to as “The Releases”) and to release the Releases from any and all liability, including liability for any loss, damage, expense or injury that I may suffer, or that my next of kin may suffer resulting from the provision of Services, due to any cause whatsoever, including negligence, breach of contract, or breach of any statutory or other duty of care;
  2. Not to sue the Releases, and to hold harmless and indemnify the Releases from any and all liability, including liability for any loss, damage to property of or personal injury to any third party, resulting from the Services;
  3. I acknowledge that no legal services are provided as a result of the Services, that I should seek professional legal advice for legal issues that I may have; and a solicitor-client or consultant-client relationship is not being formed through my receiving the Services;
  4. I do not own or acquire copyright or any other intellectual property rights in the clinic manual, either in whole or in part;
  5. The materials are provided as is, without warranty, and may not be up-to-date or suitable for my purposes;
  6. This Agreement shall be effective and binding upon my heirs, next of kin, executors, administrators and representatives, in the event of my death or incapacity;
  7. This Agreement shall be governed by and interpreted in accordance with the laws of the Province of Alberta and any disputes shall be resolved in the Province of Alberta;
  8. I am an authorized representative of my organization, if my organization benefits from the Services; and
  9. In entering into this Agreement I am not relying upon any oral or written representations or statements made by the Releases other than what is set forth in this Agreement.
